Terms of Service

1. Acceptance of Terms

By accessing and using the devsfolder website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

devsfolder provides software development services including but not limited to:

• Web development and design
• Mobile application development
• AI and machine learning solutions
• Cloud solutions and deployment
• E-commerce platform development
• Data analytics and business intelligence
• API development and integration
• Digital transformation consulting

3. Service Agreement

3.1 Project Scope

All projects will be defined by a separate statement of work (SOW) or project agreement that outlines:

• Project deliverables and timeline
• Payment terms and schedule
• Intellectual property ownership
• Project milestones and acceptance criteria

3.2 Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements
• Timely feedback and approvals
• Providing necessary access to systems and data
• Payment according to agreed terms

4. Payment Terms

Unless otherwise specified in the project agreement:

• Payment schedules will be outlined in the project SOW
• Invoices are due within 30 days of receipt
• Late payments may incur additional charges
• Work may be suspended for overdue payments

5. Intellectual Property

5.1 Client IP

Clients retain ownership of their pre-existing intellectual property, trademarks, and content provided to devsfolder.

5.2 Developed IP

Unless otherwise specified in writing, all custom software, code, and materials developed specifically for the client will be owned by the client upon full payment.

5.3 devsfolder IP

devsfolder retains ownership of its pre-existing intellectual property, tools, frameworks, and methodologies used in project delivery.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the project. This obligation survives termination of the agreement.

7. Warranties and Disclaimers

7.1 Service Warranty

devsfolder warrants that services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty on delivered software for bug fixes related to original specifications.

7.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, DEVSFOLDER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

In no event shall devsfolder be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or goodwill, arising out of or relating to this agreement.

9. Termination

Either party may terminate an agreement with 30 days written notice. Upon termination:

• Client will pay for all work completed to date
• devsfolder will deliver all completed work products
• Both parties will return confidential information

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law provisions.

11. Changes to Terms

devsfolder reserves the right to modify these terms at any time. We will notify clients of any material changes. Continued use of our services after changes constitutes acceptance of the new terms.
